OF\u0130SLER<\/strong><\/p>\n\n\n\n<p>Kurum, Columbia B\u00f6lgesi'nde kay\u0131tl\u0131 bir temsilciye ve ayn\u0131 adrese sahip kay\u0131tl\u0131 bir ofise sahip olacak ve bunlar\u0131 s\u00fcrekli olarak muhafaza edecektir ve Y\u00f6netim Kurulu'nun zaman zaman belirleyebilece\u011fi Columbia B\u00f6lgesi i\u00e7inde veya d\u0131\u015f\u0131nda ba\u015fka ofislere sahip olabilir.<\/p>\n\n\n\n<p><strong>Madde III. \u00dcYELER<\/strong><\/p>\n\n\n\n<p>B\u00f6l\u00fcm 1. \u00dcyeler \u00dcyeler. Kurumun \u00fcyeleri \u00fc\u00e7 s\u0131n\u0131fa ayr\u0131l\u0131r: asli, ortak ve onursal; her s\u0131n\u0131f\u0131n a\u015fa\u011f\u0131daki nitelikleri ve haklar\u0131 vard\u0131r: (1) Asli \u00fcyeler, bundan sonra belirtilen \u015fartlara uygun olarak \u00fcyeli\u011fe se\u00e7ilen ve cari y\u0131l i\u00e7in \u00fcyelik aidatlar\u0131n\u0131 tam olarak \u00f6demi\u015f olan ki\u015filerdir. Se\u00e7imler de dahil olmak \u00fczere genel toplant\u0131larda sadece asli \u00fcyeler oy kullanma hakk\u0131na sahiptir. Ortak \u00fcyeler, oy kullanma ayr\u0131cal\u0131\u011f\u0131 d\u0131\u015f\u0131nda \u00fcyeli\u011fin t\u00fcm ayr\u0131cal\u0131klar\u0131na sahiptir. (3) Onursal \u00fcyeler, \u00dcyelik Komitesi taraf\u0131ndan se\u00e7ilen ve \u0130cra Komitesi taraf\u0131ndan onaylanan American Turkish Association of D.C. Proposed Revised By-Laws ki\u015filer olacakt\u0131r. Onursal \u00fcyelerin \u00fcyelik aidat\u0131 \u00f6demeleri gerekmez ve oy kullanma ayr\u0131cal\u0131\u011f\u0131 d\u0131\u015f\u0131nda \u00fcyeli\u011fin t\u00fcm ayr\u0131cal\u0131klar\u0131na sahip olurlar.<\/p>\n\n\n\n<p>B\u00f6l\u00fcm 2. \u00dcyelik Ko\u015fullar\u0131 \u00dcyelik i\u00e7in Gerekenler. Amerikan T\u00fcrk Derne\u011fi A.\u015e. ile ilgilenen herkes \u00dcyelik Komitesi Ba\u015fkan\u0131na ba\u015fvuruda bulunabilir. \u00dcyelik Komitesi ba\u015fvuruyu inceleyecektir. Herhangi bir \u00fcyenin ATA A.\u015e.'nin ama\u00e7lar\u0131na ve genel politikas\u0131na ayk\u0131r\u0131 davrand\u0131\u011f\u0131n\u0131n \u00dcyelik Komitesi, Y\u00fcr\u00fctme Komitesi veya Y\u00f6netim Kurulu'nun dikkatini \u00e7ekmesi halinde, \u00dcyelik Komitesi konuyu de\u011ferlendirmek \u00fczere Ba\u015fkan ile bir araya gelir. Uygun bir de\u011ferlendirmeden sonra, \u00dcyelik Komitesi su\u00e7lamalar\u0131n b\u00fcy\u00fck \u00f6l\u00e7\u00fcde do\u011fru oldu\u011funa karar verirse, \u00fcyenin iki haftadan daha erken veya d\u00f6rt haftadan daha ge\u00e7 olmamak kayd\u0131yla bir duru\u015fma i\u00e7in Komite ve Ba\u015fkan\u0131n huzuruna \u00e7\u0131kmas\u0131n\u0131 talep eder. Duru\u015fma sonucunda, su\u00e7lamalar\u0131n do\u011fru olmad\u0131\u011f\u0131 tespit edilirse, konu kapanacakt\u0131r. Her mali y\u0131lda, Y\u00f6netim Kurulu'nun belirleyece\u011fi zamanda ve yerde, direkt\u00f6rlerin ve g\u00f6revlilerin se\u00e7ilmesi ve toplant\u0131 \u00f6ncesinde g\u00fcndeme gelebilecek di\u011fer i\u015flerin yap\u0131lmas\u0131 amac\u0131yla bir \u00fcye toplant\u0131s\u0131 yap\u0131lacakt\u0131r.<\/p>\n\n\n\n<p>B\u00f6l\u00fcm 2. \u00d6zel Toplant\u0131lar. \u00dcyelerin \u00f6zel toplant\u0131lar\u0131 Ba\u015fkan, Y\u00f6netim Kurulu ya da yirmi be\u015f (25) veya daha fazla asil \u00fcye taraf\u0131ndan imzalanm\u0131\u015f dilek\u00e7e ile \u00e7a\u011fr\u0131labilir.<\/p>\n\n\n\n<p>B\u00f6l\u00fcm 3. Toplant\u0131 Yeri. Y\u00f6netim Kurulu zaman zaman Columbia B\u00f6lgesi i\u00e7inde veya d\u0131\u015f\u0131nda herhangi bir yeri y\u0131ll\u0131k toplant\u0131 veya \u00fcyelerin \u00f6zel toplant\u0131lar\u0131 i\u00e7in toplant\u0131 yeri olarak belirleyebilir. American Turkish Association of D.C. Revize Edilmi\u015f T\u00fcz\u00fck \u00d6nerisi<\/p>\n\n\n\n<p>B\u00f6l\u00fcm 4. Toplant\u0131 Bildirimi. Herhangi bir \u00fcye toplant\u0131s\u0131n\u0131n yerini, g\u00fcn\u00fcn\u00fc ve saatini belirten yaz\u0131l\u0131 veya bas\u0131l\u0131 bildirim, toplant\u0131 tarihinden en az otuz (30) g\u00fcn, en fazla k\u0131rk (40) g\u00fcn \u00f6nce, Ba\u015fkan veya Sekreter ya da toplant\u0131ya \u00e7a\u011f\u0131ran ki\u015filer taraf\u0131ndan veya onlar\u0131n talimat\u0131yla, s\u00f6z konusu toplant\u0131da oy kullanma hakk\u0131na sahip her \u00fcyeye \u015fahsen veya posta ya da e-posta yoluyla ula\u015ft\u0131r\u0131lacakt\u0131r. \u00d6zel bir toplant\u0131 s\u00f6z konusu oldu\u011funda veya t\u00fcz\u00fck ya da bu i\u00e7 t\u00fcz\u00fck gerektirdi\u011finde, toplant\u0131n\u0131n hangi ama\u00e7la yap\u0131laca\u011f\u0131 bildirimde belirtilir. Toplant\u0131 bildirimi, postayla g\u00f6nderilmesi halinde, posta \u00fccreti \u00f6nceden \u00f6denmi\u015f olarak, \u00fcyenin \u015firket kay\u0131tlar\u0131nda g\u00f6r\u00fcnen adresindeki Amerika Birle\u015fik Devletleri postas\u0131na verildi\u011finde teslim edilmi\u015f say\u0131l\u0131r. E-posta ile g\u00f6nderilmesi halinde, bildirim, \u00fcyenin \u015firket kay\u0131tlar\u0131nda g\u00f6r\u00fcnen adresine bilgisayar arac\u0131l\u0131\u011f\u0131yla g\u00f6nderildi\u011finde teslim edilmi\u015f say\u0131lacakt\u0131r. Herhangi bir \u00fcye toplant\u0131 bildiriminden feragat edebilir. \u00dcyelerin tamam\u0131n\u0131n haz\u0131r bulundu\u011fu her toplant\u0131 ge\u00e7erli olarak \u00e7a\u011fr\u0131lm\u0131\u015f say\u0131l\u0131r.<\/p>\n\n\n\n<p>B\u00f6l\u00fcm 5. Yeterli \u00c7o\u011funluk. \u015eirketin t\u00fcm asli \u00fcyelerinin d\u00f6rtte birini () olu\u015fturan asli \u00fcyelerin \u015fahsen haz\u0131r bulunmas\u0131, \u00fcyelerin herhangi bir toplant\u0131s\u0131nda yeter say\u0131 te\u015fkil eder. Herhangi bir \u00fcye toplant\u0131s\u0131nda yeterli \u00e7o\u011funluk sa\u011flanamazsa, haz\u0131r bulunan \u00fcyelerin \u00e7o\u011funlu\u011fu, ba\u015fka bir bildirimde bulunmaks\u0131z\u0131n toplant\u0131y\u0131 zaman zaman erteleyebilir.<\/p>\n\n\n\n<p><strong>Madde V. Y\u00d6NET\u0130M KURULU<\/strong><\/p>\n\n\n\n<p>1. B\u00f6l\u00fcm. Genel Yetkiler. Y\u00f6netim Kurulu, kurumun faaliyetleri i\u00e7in politika belirleyecek, k\u0131lavuz ilkeler koyacak ve prosed\u00fcrler olu\u015fturacakt\u0131r.<\/p>\n\n\n\n<p>2. B\u00f6l\u00fcm. Say\u0131, G\u00f6rev S\u00fcresi ve Nitelikler. Y\u00f6netim kurulu \u00fcyelerinin say\u0131s\u0131 be\u015ften (5) az, yirmi be\u015ften (25) fazla olamaz. Y\u0131ll\u0131k toplant\u0131da se\u00e7ilen direkt\u00f6rlerin say\u0131s\u0131 t\u00fcm d\u00f6nem boyunca korunacakt\u0131r. Ba\u015fkan, Ba\u015fkan Yard\u0131mc\u0131s\u0131, Sekreter ve Sayman, Y\u00f6netim Kurulu'nun memurlar\u0131d\u0131r ve en son emekli olan Ba\u015fkan, g\u00f6revden ayr\u0131ld\u0131ktan sonraki ilk y\u0131l i\u00e7in re'sen direkt\u00f6r olacakt\u0131r. Y\u00f6netim Kurulunu \u00f6zel toplant\u0131ya \u00e7a\u011f\u0131ran ki\u015fi veya ki\u015filer, Columbia B\u00f6lgesi i\u00e7inde veya d\u0131\u015f\u0131nda herhangi bir yeri ve zaman\u0131 \u00f6zel toplant\u0131 yeri olarak belirleyebilirler. Y\u00f6netim Kurulu'nun \u00e7o\u011funlu\u011fu, Y\u00f6netim Kurulu'nun herhangi bir toplant\u0131s\u0131nda i\u015flerin y\u00fcr\u00fct\u00fclmesi i\u00e7in yeterli \u00e7o\u011funlu\u011fu olu\u015fturacakt\u0131r; \u015fu \u015fartla ki, s\u00f6z konusu toplant\u0131da (vekaleten de dahil olmak \u00fczere) direkt\u00f6rlerin \u00e7o\u011funlu\u011fundan daha az\u0131n\u0131n haz\u0131r bulunmas\u0131 halinde, mevcut direkt\u00f6rlerin \u00e7o\u011funlu\u011fu toplant\u0131y\u0131 ba\u015fka bir bildirimde bulunmaks\u0131z\u0131n erteleyebilir. Bo\u015fluklar. Y\u00f6netim Kurulunda meydana gelen herhangi bir bo\u015fluk Y\u00f6netim Kurulu taraf\u0131ndan doldurulabilir. Bu \u015fekilde bo\u015flu\u011fu doldurmak \u00fczere se\u00e7ilen bir y\u00f6netici, g\u00f6revdeki selefinin dolmam\u0131\u015f s\u00fcresi i\u00e7in atanacakt\u0131r.<\/p>\n\n\n\n<p>B\u00f6l\u00fcm 8. Tazminat. Y\u00f6netim Kurulu, g\u00f6revdeki \u00fcyelerin \u00e7o\u011funlu\u011fu taraf\u0131ndan kabul edilen bir kararla, d\u00f6rd\u00fc (4) se\u00e7ilmi\u015f g\u00f6revliler olmak \u00fczere be\u015f (5) \u00fcyeden olu\u015fan bir Y\u00fcr\u00fctme Komitesi belirler ve atar. \u0130cra Komitesi her bak\u0131mdan Y\u00f6netim Kurulunun yetki ve takdirine tabi olacakt\u0131r.
